Investor Opportunity
We are offering investors an opportunity in this round that includes an earned/accrued 10% annual dividend on their investment amount and a 16% conversion equity bonus into a new class of units that are anticipated to be issued in the Company's next round of financing. The dividends are anticipated to be paid in units and distributed over 18 months, although these terms could be extended by the Company's board of directors.
Dividends Example:
If you invest $1,000 in the Company's Class E1 units, and the price per unit is $1.25, you would receive 800 Class E1 units. Of that $1,000, 90% (or $900) is eligible to earn a 10% annual dividend, paid in the form of additional units over 18 months. At the end of those 18 months, you could receive up to 135 bonus units. That would bring your total to 935 units.
Potential Conversion at Series B:
If the Company raises an institutional Series B round in the future at a higher valuation, your 800 Class E1 units may be converted into a new class of units. If the conversion were to occur, you would receive 1.16x Class E1 conversion bonus units.
Example:
If you invested $1,000 into the Company received 800 Class E1 Units, and the institutional Series B round occurs, you would have 928 total Class E1 units for conversion. That amount was determined by multiplying the original 800 units by the 1.16 bonus conversion bonus factor. The 928 units would be combined with the 135 dividend units you also earned over 18 months to equal a total of 1,063 Class E1 units to be converted into a new class of units to be established for the potential institutional Series B round.
To recap the example, a $1,000 investment Class E1 now could result in the following if a conversion were to happen:
1. 800 units from initial investment
2. 135 units from a dividend bonus
3. 128 additional units from the 16% conversion bonus
For a total of 1063 Class E1 units.

Traditional ski brands are over-burdened with high-cost operating models and low margin distribution channels that favor the retailer over the customer.
Renoun, as an emerging player in the alpine ski equipment market, we excel by placing emphasis on several key factors, including product innovation, quality, targeted marketing, pricing strategies, customer support, sustainability, inventory management, research and development (R&D), and obsessed integration of customer feedback.

Let’s say it upfront: Making skis is environmentally unfriendly.
A typical ski company's supply chain is global, sourcing materials worldwide, which are then assembled and redistributed. These materials, subject to variations, require precise molding into a world-class ski, a process resulting in over 40% waste. This waste, often coated in epoxy, increases the energy of upcycling. We recognize the immense waste in ski production and the need for greener alternatives. However, these "green" options could pollute up to four times more than traditional methods. So, beware of companies claiming "green" skis. While some components might have less environmental impact downstream, we must consider the energy used and the upstream environmental cost.

Industry Changing Customer Experience
Nearly all ski companies take their skiers for granted, putting focus only on their athletes, their distributors/dealers and the gear review magazines/tests. In fact, with rare exception, they have no relationship with the end customer whatsoever. They don’t even know who is using their skis if you are not one of their sponsored athletes. They care about driving volume through ski shops and their demo programs, with margins so tight they can’t afford to worry about the experience of their customers.
Renoun is different, we sell only directly to skiers, we know your name and we invest the time to learn about you. Our skis can’t be found in ski shops or factory demo programs because we can’t ensure quality or make sure you are on the right ski for you.
Renoun has cultivated a strong and engaged community of skiers who not only appreciate our products but also contribute valuable insights for continuous improvement. We want to be your ski company and we talk directly to our customers before we design next year's skis to make sure that our skis meet our customers' needs.
We are going even farther – we are preparing to launch an industry-leading membership program; “Club Renoun.” This program can enhance our customer experience by building a special Renoun community and can make it frictionless to become part of our Renoun family of skiers. Club Renoun is not about selling skis, it is about adding value to our skiers for being part of our brand in a way that could change the way ski companies interact with their customers forever.

Business Model & Market
Renoun was optimized from the beginning to be a direct to consumer (DtC) business model and was one of the first DtC company in the ski industry.
While other brands have followed Renoun down the DtC path, they are also still caught up in the same paradigms the industry has followed for 30+ years - ski shops/demo programs/athlete sponsorships.
- 85% of Renoun sales of skis & bindings flow through its direct to consumer eCommerce site
- 10% of sales are derived from corporate purchases of special order logo’d skis
- 5% of sales are attributed to Renoun special offer merchandise
In the 2024/25 season, Renoun has experienced a 40% growth in revenue and ~30% growth in unit sales YoY from 2023/24, all while the rest of the premium ski segment of the market has been struggling and slashing prices (according to industry insiders).
- Renoun made notable investments in optimizing the sales funnel flow which paid high dividends.
- The ecommerce site on the Shopify platform was upgraded to unlock the latest ecommerce capabilities.
- Key experienced marketing resources were added to the team.
- A meaningful investment was made in PR which resulted in coverage in 43 publications, increasing awareness (site visits) by as much as 40% over 2024.
Planned - 2025/26 - “RenounPro”
- Renoun is poised to launch one of the first in the industry membership programs which offers a swap out of skis every two years for the latest models.
- The program is structured by an enrollment fee plus recurring monthly dues.
- The central perk is to allow members to turn in their used skis for new skis every two years, however many additional perks will be available from participating complementary brands like CARV, highend outer-wear providers, goggle companies, possibly even mountain and road bike brands.
- The program also includes access to outstanding ski and outdoor experiences through high-end experience partners like Eleven Experiences of CO. [Renoun completed the first pilot experience with Eleven in March 2025 - 4 days of cat skiing in Crested Butte - the trip sold out in 48 hours at $8500/room.]
- Current customer lifetime value (LTV) is expected to rise from current $1800 to $8600 per member.
- When RenounPro reaches maturity, the expected revenue mix should be 60% of revenue flowing through the DtC channel and 40% of revenue recurring revenue that flows through RenounPro, giving Renoun a more even cashflow stream and a break away from the seasonal hardgoods provider business constraints.
- In 2023 3.7M pairs of skis were sold annually to 55M skiers and 800K snowboards.
- 925K skis are sold in the US to 15M skiers.
- 2018 saw the launch of the two mega-passes - Epic pass & Ikon pass, in 2023 there are over 4M+ passholders in these two programs. They are passionate about skiing and spend money!
- Renoun’s target growth annual sales in 5 years = 12K skies/year. Renoun’s current gross margin on skis at normal pricing is 71%.

Before his private equity career, he spent 28 years with Accenture where he had senior leadership roles across the manufacturing, defense, aviation and retail industries. He held critical executive roles at Accenture including: Managing Partner for the Scandinavian region and then became industry leader for the $2.1 billion Products Operating Unit; then as the Managing Partner – Products/Retail Industries in Europe and Africa; before transitioning to Managing Partner/ Chief Operating Officer for all of Accenture’s Ventures and Alliances business activity. Rick’s career at Accenture culminated as part of the C-Suite as Corporate Chief of Staff , where he was instrumental in managing Accenture’s transition from a global partnership to an international Fortune 100 public corporation.
Rick graduated from the University of Notre Dame in Finance and has an MBA from Boston University's Graduate School of Management.

This number includes all funds raised by the Company in this round on Netcapital. This is an offering of Class E1 Units, under registration exemption 4(a)(6), in Renoun Holdings, LLC dba Renoun Skis. This offering must reach its target of at least $10,000 by its offering deadline of April 30, 2025 at 11:59pm ET. If this offering does not reach its target by the offering deadline, then your money will be refunded.
